Vici Eiendom ASTerms
General Terms
This is an unofficial English translation provided for convenience. The Norwegian version at vicieiendom.no/vilkar is the legally binding version and prevails in case of any discrepancy.
1. About these terms
These terms apply to the use of the products Assistent, Kapital, Builder, Skilla, Utleiemalen and Arkiva (collectively the "products"). The products are provided by Vici Eiendom AS, org. no. 936 127 290 ("we", "us", "our"). The agreement is entered into between Vici Eiendom AS and you as the user of the products ("you").
The agreement consists of the following, in this order of precedence in the event of conflict: (1) special agreements entered into with us in writing, (2) supplementary terms for the individual product, either in clause 15 or as shown in the product before purchase, (3) these general terms. The privacy notice describes how we process personal data.
You accept the terms by confirming them when you create an account or purchase a product. We store which version you accepted, and when. If you use the products on behalf of a business, you confirm that you have authority to bind the business, and the business is then the contracting party. If you are a consumer, mandatory rules of consumer legislation take precedence over these terms.
2. Account
To use most of the products, you must create an account. You must be at least 18 years of age. The information you provide must be correct, and you must keep it up to date. You are responsible for keeping your login details secret and for what happens with your account. If you suspect that someone else has gained access, you must notify us immediately.
3. Use of the products
You are granted a non-exclusive right to use the products during the term of the agreement, for your own purposes or for your own business. You may not:
- use the products in breach of the law, to infringe the rights of others or to disseminate unlawful content
- resell, rent out or give others access to the products, unless the product is designed for that purpose
- attempt to circumvent access restrictions, test vulnerabilities without agreement, or copy, decompile or imitate the products
- automatically extract data from the products to a greater extent than ordinary use, or place an unreasonable load on the services
- enter data about others without having the right to do so
4. Prices and payment
Current prices and what is included are shown in the product before you purchase. Prices to consumers are stated inclusive of value added tax. Payment is made in advance using the payment methods offered in the product, and is processed by our payment providers. Before an annual subscription is renewed, we will send you a notice in reasonable time.
Subscriptions renew automatically for a new period of the same length until terminated, cf. clause 6. We may change the price of ongoing subscriptions with at least 30 days' notice. The change applies from the first renewal after the notice, and you may terminate before it takes effect.
In the event of late payment, we may suspend access to the paid part of the product until payment has been received, and claim late payment interest under forsinkelsesrenteloven (the Late Payment Interest Act).
5. Right of cancellation
If you are a consumer, you have a 14-day right of cancellation under angrerettloven (the Norwegian Cancellation Act) from the day the agreement is entered into. You exercise the right of cancellation by giving us a clear statement, for example by email to marcel@costanix.no, or by using the cancellation form that is shown before the purchase and sent with the order confirmation. We will refund what you have paid without undue delay and at the latest 14 days after we received the statement, using the same payment method.
If you expressly request that a service, such as a subscription, begins before the cancellation period has expired, you must pay a proportionate part of the price for what has been provided if you withdraw from the agreement. If the service has been fully performed before the cancellation period has expired, the right of cancellation does not apply, provided that performance began with your express prior consent and your acknowledgement that the right of cancellation is lost once the service has been fully performed, cf. angrerettloven section 22 letter a.
For digital content supplied immediately, for example downloadable files, reports and packages, the right of cancellation is lost once supply has begun, provided that you have given your prior express consent to supply during the cancellation period and acknowledged that the right of cancellation is thereby lost, cf. angrerettloven section 22 letter n. We ask for this consent in the purchase flow and confirm it in the order confirmation.
6. Term and termination
You may terminate a subscription at any time in the product or by contacting us. Termination takes effect at the end of the period you have paid for, and you retain access for the remainder of the period. We do not refund payment for a period that has commenced, unless otherwise provided by mandatory law or the supplementary terms for the product.
We may terminate the agreement with 30 days' notice, for example if a product is discontinued. This does not apply to the right to use digital content you have purchased with a perpetual right of use, cf. clause 15.4. If you have paid for a period extending beyond the notice period, we will refund the unused part.
When the agreement ends, you can download your content in the product before the account is closed. After the account has been closed, the content is deleted as set out in the privacy notice.
7. Rights and content
We own, or have the right to use, all rights to the products, including software, design, templates, texts, calculation models and trade marks. The agreement does not give you any rights beyond the right of use in clause 3.
You retain the rights to the content you enter. You grant us the right to store, process and display the content to the extent necessary to provide the products to you. You are responsible for ensuring that you have the right to use the content you enter, and that the content is not unlawful.
You may freely use the output the products generate for you, such as texts, websites, reports and overviews, for your own purposes. Templates, frameworks and other ready-made content from us that form part of the output remain ours, but you may use them as part of the output.
We may use anonymised and aggregated information about the use of the products to operate, secure and improve them. Such information cannot be linked to you. Publicly available data that you ask a product to retrieve, for example property listings, we may in addition store and use in aggregated form across users, as described in the privacy notice.
8. Output and advice
The products are tools. Calculations, analyses, drafts and other content generated by the products are decision support and not legal advice, tax advice, investment advice, bookkeeping or other professional advice tailored to your situation. You are yourself responsible for the decisions you make, and for checking the output before you use it.
Several of the products use artificial intelligence. Such output may contain errors or omissions, even when it appears certain. The output is moreover based on the information you provide and on third-party data, which we cannot guarantee to be correct or complete.
9. Availability and changes to the products
We work to ensure that the products are available and function as described, but cannot guarantee that they will be available without interruption or errors. As far as possible, we carry out planned maintenance at times when it causes the least disruption.
We develop the products continuously and may change, add or remove features where justified by product development, security, changes at our providers or changes in law or regulatory requirements. We give notice of changes in the product. If a change is to your detriment, we will give at least 30 days' notice, and you may terminate with effect from the change and receive a refund of the unused part of any prepaid period.
10. Data processing
When you enter personal data about others for your own purposes, for example letting, accounting, running your business or raising capital, you are the controller for that data, and we are the processor. The data processing agreement then applies, which forms part of these terms and meets the requirements of GDPR Article 28. Under the data processing agreement, we shall, among other things:
- process the data only on your instructions, as they follow from the agreement and the use of the product
- ensure that those who have access are subject to a duty of confidentiality
- implement appropriate security measures, cf. GDPR Article 32
- only use the sub-processors listed in the privacy notice, and give notice of new sub-processors in reasonable time before they are engaged, so that you can object
- assist you in fulfilling the rights of data subjects and your obligations under GDPR Articles 32 to 36
- notify you without undue delay in the event of a personal data breach
- delete or return the data when the agreement ends, unless the law requires storage
- make available to you the information necessary to demonstrate compliance with the obligations
If you need a signed version of the data processing agreement, you can contact us.
11. Liability
If a service has a defect, we will remedy it within a reasonable time. If that is not possible, you may claim a price reduction, or terminate the agreement if the defect is material, in accordance with the applicable rules.
In relation to business customers, our aggregate liability for damages is limited to the amount the customer has paid us for the relevant product in the 12 months preceding the occurrence of the loss. We are not liable for indirect loss, such as loss of profit, loss of data, loss resulting from decisions made on the basis of output from the products, or loss caused by third-party services that the customer has chosen or connected. The limitations do not apply in the event of wilful misconduct or gross negligence, nor to our liability for sub-processors under GDPR Article 28(4).
In relation to consumers, digitalytelsesloven (the Norwegian Act on the Supply of Digital Content and Services to Consumers) and other mandatory legislation apply. Nothing in these terms limits the rights you have under such legislation.
Neither party is liable for circumstances beyond that party's control which the party could not reasonably have foreseen or avoided, for example a prolonged loss of power or network. A failure on the part of a subcontractor only exempts a party if the subcontractor is also affected by such an impediment.
12. Breach and suspension
If you breach the terms, we may restrict or suspend your access. In the case of minor breaches, we will first give notice and give you the opportunity to remedy the matter. In the case of serious breaches, unlawful use or a risk to security, we may suspend access immediately. In the event of suspension due to material breach, we will refund the unused part of any prepaid fee less our loss. For business customers, prepaid fees are not refunded in such cases.
13. Changes to the terms
We may change the terms where justified by changes to the products, in law or regulatory requirements, or in the circumstances of our providers. We give notice of all changes in the product or by email. We give notice of changes to your detriment at least 30 days before they take effect, and you may terminate before then and receive a refund of the unused part of any prepaid period. The current version is always available on this page, with the date at the top.
14. Governing law and disputes
The agreement is governed by Norwegian law. The parties shall first seek to resolve any disagreement amicably. Consumers may bring the matter before Forbrukerrådet (the Norwegian Consumer Council), and subsequently before Forbrukerklageutvalget (the Consumer Disputes Commission), and may always bring proceedings in their ordinary place of jurisdiction. For business customers, Oslo tingrett (Oslo District Court) is the agreed venue.
15. Supplementary terms per product
The clauses below apply in addition to the general terms for the relevant product. In the event of conflict, the supplementary terms take precedence.
15.1 Assistent
- Assistent carries out tasks on your instructions. Assistent is designed to ask for approval before anything is sent, published, deleted or changed on your behalf. Anything you approve is deemed to have been done by you.
- You choose which services to connect, and you are responsible for ensuring that you have the right to give Assistent access. The use of connected services is also subject to the terms of the provider of the service.
- You must check content prepared by Assistent before you approve that it be sent or used.
15.2 Kapital
- Kapital is a working tool for arrangers and companies. We are not an arranger, investment firm or adviser, and are not responsible for the content of offering materials, investor pages or prospectuses created with the product.
- The user is responsible for ensuring that materials and processes comply with verdipapirhandelloven (the Securities Trading Act), the prospectus rules, markedsføringsloven (the Marketing Control Act) and other applicable rules, and that the information is correct and complete.
- Alerts and guides in the product, for example on the obligation to publish a prospectus, are aids and do not replace your own assessment or advice.
15.3 Builder
- Websites created with Builder are drafts that you must review and approve before publication. You are responsible for the content of published pages, including ensuring that texts, images and information do not infringe the rights of others and comply with markedsføringsloven.
- We may remove or unpublish content that is manifestly unlawful or in breach of these terms.
15.4 Skilla
- Skilla packages are digital content supplied immediately after purchase. The rules on the right of cancellation for such content in clause 5 apply.
- On purchase, you receive a perpetual, non-exclusive right to use the package yourself or in your own business, for the number of users covered by the purchase. The packages may not be resold, shared publicly or distributed to others.
- The packages are used in third-party services, such as Claude and ChatGPT. The quality of the output also depends on these services, over which we have no control, and their use is subject to the providers' own terms.
15.5 Utleiemalen
- Utleiemalen shows the financial outcome for a rental property based on data about the property, market data and the assumptions you choose. Utleiemalen does not assess the property and makes no recommendation to purchase or bid.
- The tax calculations are based on the rules for the income year stated in the calculation, and on the answers you give. We cannot guarantee that the calculations are at all times updated with new rules. Questions that depend on circumstances known only to you, for example whether the letting is tax-exempt, are for you to decide.
- Prices, subscription types and special terms for reports, templates and books are shown in Utleiemalen before purchase and apply as supplementary terms.
15.6 Arkiva
- Arkiva helps you collect and organise receipts and produces an editable overview. Arkiva is not bookkeeping, and does not select which property or item a receipt belongs to without your confirmation.
- You are yourself responsible for your tax return, for ensuring that the receipts are correct and for retaining documentation for as long as the rules require. Download the archive before you close your account.
- If you share a receipts folder with other users, they can view and add content to the folder in accordance with the access rights you grant.
